SANTA CLARA, CALIFORNIA / RankWire.AI / – Nvidia has reached a deal to purchase Hugging Face in a transaction valued at approximately $12.93 billion. The two companies signed the definitive agreement on September 2, 2026. Nvidia will pay roughly $11.9 billion to Hugging Face shareholders, with adjustments following standard procedures. The deal also includes potential equity-based retention awards worth up to about $1 billion for eligible staff. Both firms anticipate completing the transaction in the first half of 2027, pending regulatory approval.

Hugging Face operates a leading platform focused on artificial intelligence models, datasets, software libraries, and developer tools. Nvidia reports that the platform supports more than 18 million developers, researchers, and content creators. It hosts over 3 million models and around 500,000 datasets. Additionally, the platform offers access to over 1 million applications used for AI development. More than 200,000 companies utilize Hugging Face services to discover, test, customize, and deploy AI systems across various computing environments.
Following the acquisition, both companies affirmed Hugging Face will maintain support for multiple models, frameworks, cloud providers, and hardware platforms. Developers will not be required to use Nvidia hardware to access the platform. The company will continue supporting open-source and open-weight models from various providers. Its services will also keep compatibility with diverse cloud environments and accelerator technologies. Nvidia has stated that the platform will continue to support silicon vendors beyond its own products, as part of the commitments related to this deal.
Existing commitments to open AI platform will be upheld
Hugging Face was founded in 2016 by Clément Delangue, Julien Chaumond, and Thomas Wolf. Over time, the company expanded its offerings to include model hosting, datasets, developer libraries, and cloud-based AI tools. In an August 2023 funding round, Hugging Face reached a valuation of $4.5 billion by raising $235 million from technology investors. Prior to the acquisition, Nvidia and Hugging Face collaborated on projects that connected developers with Nvidia’s computing infrastructure and software tools.
Nvidia disclosed the deal in a Form 8-K filed with the U.S. Securities and Exchange Commission on September 3, 2026. The filing confirms that the acquisition is still pending and has not yet been finalized. Finalization depends on regulatory approvals and usual closing requirements. Nvidia also outlined operational commitments for Hugging Face post-acquisition. These include ongoing access to models and datasets, support for multiple clouds, and compatibility with hardware made by other semiconductor firms.
Nvidia expects deal completion in early 2027
Nvidia already has a significant footprint within the Hugging Face developer ecosystem. The company states it has published over 500 models and more than 250 open datasets on the platform. Nvidia also provides software libraries and development tools that users can adapt for their AI projects. Hugging Face facilitates model discovery, evaluation, customization, and deployment. Its platform supports companies, research teams, and individual developers working across machine learning, generative AI, and other AI-driven applications.
The $12.93 billion Nvidia acquisition of Hugging Face will remain subject to regulatory review until all closing conditions are satisfied. Nvidia anticipates completing the deal during the first half of 2027. Under the announced commitments, Hugging Face will continue supporting developers across various models, cloud providers, frameworks, and hardware platforms. The platform will uphold its approach to multi-cloud and multi-accelerator support. Until the deal’s finalization, Nvidia and Hugging Face will operate as separate companies under the terms of the signed agreement.
